This Code of Conduct (“Code”) establishes the mandatory standards of behaviour, responsibilities, and restrictions that apply to all participants (“Partners”) in the Cosine Partners Program (“Program”).

By joining or continuing participation in the Program, you acknowledge and agree to abide by this Code. Failure to comply may result in immediate suspension or termination of your participation without compensation or liability to Cosine.


1. Purpose and Scope

The purpose of this Code is to:

  1. Protect the reputation, integrity, and trustworthiness of Cosine and its Partners.
  2. Set clear, enforceable behavioural standards for all Partner activities in relation to schools, other Partners, and Cosine.
  3. Minimise disputes related to pricing, promises made to schools, and unauthorised use of Cosine’s brand or intellectual property.

This Code applies to all individuals and entities accepted into the Program, regardless of territory, and covers all activities conducted under the Cosine Partner designation.


2. Legal Status of Partners

2.1. Independent Contractor:

Partners are independent contractors, not employees, agents, representatives, franchisees, joint venture partners, or legal affiliates of Cosine.

2.2. No Authority to Bind Cosine:

Partners have no authority to enter into contracts, make commitments, or create obligations on behalf of Cosine.

2.3. Own Business Risk:

Partners operate entirely at their own risk and expense, including but not limited to marketing, pricing, and client relationships.
